Creator Program Addendum

PLEASE READ THIS ADDENDUM CAREFULLY BEFORE COMPLETING CREATOR ONBOARDING.

This Creator Program Addendum ("Addendum") is between CareCore, Inc. ("CareCore," "we," or "us") and the person or entity that accepts it ("Creator," "you"). By completing CareCore's creator onboarding or clicking "I Accept," you agree to this Addendum and the terms incorporated by reference. If you are accepting on behalf of an entity, you represent that you have authority to bind that entity.

CareCore may update this Addendum prospectively as our products, operations, or legal requirements evolve. Continued storefront activity or payout eligibility may require acceptance of updated terms.

1. INCORPORATION BY REFERENCE

This Addendum supplements and is governed together with CareCore's Terms of Service ("Terms") at carecore.io/terms, Privacy Policy at carecore.io/privacy, and Consumer Health Data Privacy Policy at carecore.io/chd-privacy, each as updated from time to time. In the event of conflict, this Addendum governs for creator-specific matters; the Terms govern for all other matters.

2. CREATOR ELIGIBILITY AND APPROVAL

Creator participation is subject to CareCore's approval at its sole discretion. CareCore may require identity verification, tax onboarding (including a completed IRS Form W-9 or W-8), and Stripe Connect account onboarding before any payout is processed. Approval does not guarantee storefront traffic, minimum payout amounts, order volume, or continued participation.

3. MATERIAL-CONNECTION DISCLOSURE

You must include a clear, conspicuous disclosure of your material financial relationship with CareCore in any post, video, email, newsletter, podcast, article, or other content in which you recommend, mention, review, or link to CareCore products or your CareCore storefront. The disclosure must appear near the endorsement, not buried in a caption or bio.

Acceptable disclosure examples:

  • "I'm a CareCore creator and may receive compensation when people purchase through my storefront."
  • "Paid partnership with CareCore."
  • "CareCore compensates me for promoting their products."

A hashtag alone may not be sufficient unless it is clear, conspicuous, unavoidable, and placed where consumers will see it before acting on the endorsement. FTC Endorsement Guides apply.

CareCore may provide a Compliance Center in your creator dashboard with approved disclosure templates. Using those templates satisfies this section for that content type.

4. HEALTH-RELATED CLAIMS

You may share your personal experience with CareCore products and factual, non-misleading product information consistent with CareCore's approved content library. You may not:

  • (a) Make disease claims — i.e., claim that any product diagnoses, treats, cures, or prevents any disease or medical condition.
  • (b) Describe any compounded medication as "FDA approved," "FDA-cleared," "FDA-registered," "generic Ozempic," "generic Mounjaro," "generic Wegovy," "generic Zepbound," an "off-shortage" or "patent-free" version, or any similar phrase that implies FDA approval, brand-drug equivalence, or manufacturer authorization.
  • (c) Make specific drug-comparison claims not supported by published, peer-reviewed evidence.
  • (d) Publish clinical efficacy claims beyond the scope of CareCore's written approval for that content.
  • (e) Imply that any health outcome is guaranteed or typical.

CareCore may require prior review and written approval of high-risk health-related claims, paid campaigns, storefront materials, or other content before publication, and may require use of approved language. CareCore does not undertake to review every item of Creator Content. CareCore may require removal or correction of non-compliant content. Repeated or willful violations may result in storefront suspension or termination of this Addendum.

5. CUSTOMER AND ORDER DATA

CareCore may provide access to customer names, emails, order status, product and order details, attribution data, payout status, and support-related information to the extent reasonably necessary for your storefront, attribution reconciliation, customer support, and payout functions ("Creator-Accessible Data").

You may not:

  • (a) Export, sell, rent, share, or disclose Creator-Accessible Data to any third party.
  • (b) Upload, retarget, or build advertising, lookalike, or custom audiences from Creator-Accessible Data.
  • (c) Create independent health profiles from customer, order, medication, product, or Consumer Health Data.
  • (d) Use Creator-Accessible Data for off-platform marketing without CareCore's prior written authorization.
  • (e) Retain Creator-Accessible Data beyond the term of this Addendum except as required by applicable law.

Because product and medication names can reveal Consumer Health Data, all access and use restrictions in this section apply to product-level order details as well as to explicit health information.

Clinical notes, intake responses, lab results, prescription details, provider judgments, dose change information, contraindication data, and clinical eligibility determinations are not available to creators through the creator dashboard and may not be requested.

6. COMPENSATION

Your compensation is governed by the payout terms actually shown to or accepted by you in your approved creator dashboard, product page, campaign addendum, or separate written payout summary ("Creator Payout Terms"). CareCore may maintain an internal payout matrix for operational and admin purposes, but that internal matrix is not incorporated wholesale into this Addendum and is not a public or creator-facing legal document. The applicable Creator Payout Terms specify eligible products, fixed fee amounts, attribution rules, order-status eligibility gates, payment timing, hold and reversal conditions, and the applicable version.

Compensation consists of fixed marketing, content, and platform fees earned on eligible cash-pay product orders attributed to your storefront. It is not:

  • Payment for patient referrals.
  • Compensation for prescribing, clinical decision-making, or professional medical services.
  • Payment for pharmacy, lab, or fulfillment services.
  • Incentive compensation tied to clinical utilization, dose increases, or health outcomes.
  • Compensation for insurance-covered services.

CareCore is not obligated to pay a creator fee on any order that is:

  • Refunded or charged back.
  • Flagged for suspected fraud or abuse.
  • Not approved or fulfilled by a Clinical Partner or fulfillment partner.
  • Associated with a creator compliance breach, misrepresentation, or violation of this Addendum.
  • Subject to a tax-form hold pending completion of W-9/W-8 or Stripe Connect requirements.

CareCore may update Creator Payout Terms prospectively as provided in Section 10.

7. CONFIDENTIALITY

You may not disclose to any third party, without CareCore's prior written consent:

  • (a) Non-public compensation amounts, fee schedules, or campaign economics.
  • (b) CareCore's internal pricing, product cost, pharmacy or provider cost, or margin information.
  • (c) Non-public Clinical Partner or vendor arrangements.
  • (d) Non-public operational metrics, customer counts, or order volume data.
  • (e) Customer or order data obtained through the creator dashboard.
  • (f) Any campaign-specific terms, founding-partner arrangements, or non-standard addenda.

This confidentiality obligation survives termination of this Addendum for three (3) years.

8. SUSPENSION AND TERMINATION

CareCore may suspend your storefront access or terminate this Addendum, immediately and without prior notice, for any of the following:

  • Material breach of this Addendum, the Terms, or the CHD Policy.
  • Health-claim violations or failure to correct after notice.
  • Customer data misuse or unauthorized disclosure.
  • Fraud, abuse, or platform-integrity violations.
  • Failure to complete tax onboarding or Stripe Connect requirements.
  • Any other violation that, in CareCore's reasonable judgment, poses legal, regulatory, clinical, reputational, or safety risk.

Upon termination, outstanding compliant payout amounts will be processed in the next scheduled payment cycle, subject to any holds, reversals, offsets, refund liability, chargeback liability, and the applicable Creator Payout Terms. CareCore has no obligation to pay fees associated with the conduct giving rise to termination.

9. AUDIT AND COOPERATION

You agree to cooperate promptly and in good faith with CareCore's reasonable requests to:

  • (a) Substantiate or remove health-related claims.
  • (b) Verify FTC disclosure compliance.
  • (c) Resolve order disputes, refunds, or chargebacks.
  • (d) Provide records or confirmation in connection with compliance reviews.
  • (e) Confirm or complete Stripe Connect, W-9/W-8, or other tax-document requirements.

10. ADDENDUM AND CREATOR PAYOUT TERM UPDATES

CareCore may update this Addendum or Creator Payout Terms prospectively at any time.

  • Routine Creator Payout Term updates (new products, fee changes of 20% or less, attribution rule adjustments): CareCore will provide notice by email or dashboard notification. Your continued participation after the effective date of the update constitutes acceptance.
  • Material Creator Payout Term changes that reduce any payout amount by more than 20%: CareCore will provide at least 14 days' advance notice. You may terminate participation within that 14-day period without penalty on future orders; fees on orders already attributed before the effective date of the change will be paid at the prior rate.
  • Immediate changes (required by law, regulation, Clinical Partner or pharmacy change, product discontinuation, safety issue, fraud/abuse finding, or obvious pricing error): CareCore may apply such changes immediately without prior notice.

CareCore will maintain an internal payout-term changelog that identifies the version, effective date, and a summary of material changes. Each order will store the applicable payout-term version and fee amount applicable at time of order. If CareCore updates this Addendum or Creator Payout Terms after legal review, CareCore may require affirmative re-acceptance before continued storefront activity or payout eligibility.

11. INDEPENDENT CONTRACTOR

You are an independent contractor, not an employee, agent, or partner of CareCore. You are responsible for all applicable taxes on compensation received under this Addendum. Nothing in this Addendum creates an employment, partnership, joint venture, or agency relationship.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CARECORE'S LIABILITY TO CREATOR UNDER THIS ADDENDUM IS LIMITED TO THE TOTAL CREATOR FEES ACTUALLY PAID TO CREATOR IN THE 12 MONTHS PRECEDING THE CLAIM. CARECORE IS NOT LIABLE FOR LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THIS ADDENDUM OR THE CREATOR PROGRAM.

13. GENERAL

  • (a) Entire Agreement. This Addendum, the Terms, the CHD Policy, and the applicable Creator Payout Terms actually shown to or accepted by you constitute the complete agreement between you and CareCore relating to the Creator Program and supersede all prior representations, agreements, or understandings on that subject.
  • (b) Governing Law. This Addendum is governed by the laws of the State of Delaware, without regard to conflicts-of-law principles.
  • (c) Dispute Resolution. Disputes are resolved as provided in the Terms.
  • (d) Severability. If any provision of this Addendum is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder of the Addendum will continue in full force.
  • (e) Waiver. CareCore's failure to enforce any provision of this Addendum is not a waiver of its right to do so later.
  • (f) Assignment. You may not assign or transfer your rights or obligations under this Addendum without CareCore's prior written consent. CareCore may assign this Addendum in connection with a merger, acquisition, or sale of substantially all of its assets.

ACCEPTANCE

By checking "I accept" during creator onboarding or clicking "I Accept" in your CareCore dashboard, you agree to this Addendum, as of the date of acceptance, on behalf of yourself or the entity you represent.

CareCore will log your acceptance with your creator ID, the applicable Addendum version, the applicable Creator Payout Term version or dashboard/product-page payout configuration, and an acceptance timestamp. This record constitutes your executed agreement.
